Omnicon’s media agency group is merging Hearts & Science and Mediahub into one agency under a new name and brand. This move simplifies the holding company’s offering and may not be the last change made to achieve this goal.

Reasons Behind the Merger

According to Ryan Kangisser, chief strategy officer at Mediasense, Omnicom has too many brands compared to its competitors, Publicis and WPP. The acquisition of Interpublic Group last year brought Mediahub, UM, and Initiative into Omnicom’s fold, leading to speculation that some brands would be retired.

Omnicom CEO John Wren initially stated that the acquisition would not lead to the retirement of any brands. However, the merger of Hearts & Science and Mediahub suggests that the company is reevaluating its structure.

Steve Boehler, who runs the Mercer Island Group consultancy, believes that Omnicom can choose between two paths forward: complexity or conflict avoidance. The complexity path would involve merging IPG shops with IPG shops, but this could lead to client conflicts, particularly in the pharmaceutical space.

Client Conflicts and Internal Challenges

Conversely, the conflict avoidance path sidesteps client conflict but faces greater internal challenges in merging disparate systems. This is the path that Omnicom has chosen with the merger of Mediahub and Hearts & Science.

In an internal memo, Omnicom Media global CEO Florian Adamski noted that the fit between the two agencies is “remarkably complementary.” He highlighted the strengths of each agency, with Hearts & Science built around data-driven marketing and Mediahub known for its creative thinking and ability to help ambitious brands grow.

Adamski believes that the merged agency will have “meaningful global scale built from complementary market strengths rather than overlap,” providing clients with culturally relevant and locally informed solutions.

Industry Reaction and Expectations

Despite the potential benefits of the merger, some industry experts feel that Mediahub’s unique strengths may be lost in the process. Ryan Kangisser notes that Mediahub is a “creative-led media buying agency, not a media-led creative agency,” and that this distinction may be lost in the merged model.

Broader Industry Trends

Significant changes are happening in the media industry, with the rise of agentic tools and systems in upfront negotiations. As one major chief investment officer noted, “We really want to make sure that, as the next frontier of our business is developed, it’s an interoperable one.”

Omnicom’s merger of Hearts & Science and Mediahub is just one example of this trend, and it will be interesting to see how the company handles the challenges and opportunities that lie ahead.

They will need to find a way to balance their internal challenges with the need to adapt to the changing media industry.
